التمهيد

لما كان الطرف الأول متخصصًا في تقديم خدمات التدريب والتعليم والتأهيل في مجال اللغة الألمانية من خلال برامج تدريبية حضورية وعبر الإنترنت، تشمل مستويات ودورات متنوعة، ولما كان الطرف الثاني قد أبدى رغبته في الالتحاق بأحد البرامج التدريبية المقدمة من الطرف الأول والاستفادة من الخدمات التعليمية والتدريبية المقدمة.

وحيث إن الخدمات التعليمية والتدريبية المقدمة من الطرف الأول تُعد من الخدمات المستمرة التي يتم تقديمها واستهلاكها في نفس الوقت خلال مدة البرنامج التدريبي، ويترتب على تنظيمها التزامات تشغيلية وأكاديمية وإدارية تتعلق بحجز الأماكن والمواعيد وتخصيص المحاضرين والموارد التعليمية.

فقد اتفق الطرفان، وهما بكامل أهليتهما القانونية المعتبرة شرعًا وقانونًا، على ما يلي:

البند الأول – موضوع العقد

يلتزم الطرف الأول بتقديم البرنامج التدريبي المتفق عليه للطرف الثاني وفق النظام الدراسي المحدد، سواء بالحضور المباشر أوعبر الإنترنت، مع توفير المحاضرين المؤهلين والمواد التعليمية المتاحة وفقًا للنظام الأكاديمي المعتمد لدى المعهد.

البند الثاني – نظام الدراسة والتنظيم الأكاديمي

  1. يلتزم الطرف الثاني بالانتظام في حضور البرنامج التدريبي طوال مدة الدراسة وعدم الغياب لتحقيق الاستفادة.
  2. يتم توزيع المتدربين على المجموعات الدراسية وفقًا للنظام التشغيلي والطاقة الاستيعابية للمعهد.
  3. يحتفظ الطرف الأول بحق تعديل مواعيد الدراسة أو تأجلها بحد أقصي 14 يوم عمل من التاريخ المعلن أو أماكن التدريب أو تعديل مواعيد الدراسة أو تغيير المحاضر أو المناهج أو دمج أو إعادة تنظيم المجموعات متى اقتضت مصلحة العملية التعليمية، إذا اقتضت الضرورة التشغيلية أو التنظيمية ذلك، مع الالتزام بتقديم الخدمة التعليمية بصورة مناسبة.
  4. يلتزم الطرف الثاني بالالتزام بالقواعد الأكاديمية والتنظيمية المعلنة من قبل المعهد طوال مدة البرنامج التدريبي.

البند الثالث – متطلبات الحضور الإلكتروني (الدراسة عبر الإنترنت)

يقر الطرف الثاني بالتزامه بالمعايير التقنية والسلوكية المنظمة للدراسة عبر الإنترنت، بما يضمن جودة العملية التعليمية والاستفادة للطرف الثاني، وتشمل ما يلي:

  1. الالتزام بالتفاعل أثناء المحاضرة وفتح الكاميرا كلما طُلب ذلك من قبل المحاضر أو وفق سياسة المعهد التعليمية.
  2. استخدام وسائل تقنية مناسبة تشمل اتصال إنترنت مستقر وميكروفون وسماعات بجودة مناسبة لضمان وضوح التواصل.
  3. يلتزم المتدرب بالاستجابة أثناء المحاضرة، ويحق للمحاضر أو الإدارة اتخاذ الإجراء المناسب، بما في ذلك أستبعاد المتدرب من المحاضرة، في حال الإخلال المتكرر بقواعد الحضور أو التفاعل.
  4. لا يُسمح بالانضمام إلى المحاضرة سواء أونلاين او أوفلاين بعد مرور ثلاثين دقيقة من بدايتها حفاظًا على انتظام العملية التعليمية.
  5. يتحمل الطرف الثاني مسؤولية جودة الإنترنت والأجهزة الخاصة به، ولا يتحمل الطرف الأول أي مسؤولية عن الأعطال التقنية الخارجة عن نطاقه.
  6. يُمنع منعًا باتًا تصوير أو تسجيل أو مشاركة المحاضرات أو المواد التعليمية أو الحسابات الإلكترونية الخاصة بالدراسة مع أي طرف غير مسجل بالبرنامج، ويعد ذلك مخالفة صريحة لحقوق الملكية الفكرية الخاصة بالطرف الأول، بما يخول له اتخاذ الإجراءات القانونية والإدارية المناسبة.
  7. في حالة غياب الطالب عن أي من المحاضرات الاونلاين، يسمح له طلب تسجيلات لعدد لا يتجاوز ثلاث (3) محاضرات لكل مستوى دراسي، وذلك وفقًا لإمكانية توفير التسجيلات. ويلتزم الطالب بمشاهدة التسجيلات واستخدامها خلال مدة أقصاها 48 ساعة من تاريخ إتاحتها، حيث يتم حذف التسجيلات تلقائيًا وفقًا لسياسة حفظ وتخزين البيانات والمساحة المتاحة

.البند الرابع – قواعد الباقات والمستويات المجمعة  (Packages & Bundles)

  1. تبدأ رحلة المتدرب التعليمية من المستوى الذي يحدده اختبار تحديد المستوى من المعهد في حالة سابق المعرفة باللغة أو من الشهادة المعتمدة دوليا التي يقدمها الطالب للمعهد، ولا يجوز تخطي المستوى المحدد
  2. يشمل الحجزعدد المستويات المتفق عليها سواء اثنان او ثلاثة او اربع مستويات، وتنتهي مدة الاستفادة بانتهاء المدة المحددة أو استهلاك جميع المستويات المحجوزة أيهما أقرب.
  3. يلتزم الطرف الثاني باستكمال المستويات المحجوزة خلال مدة البرنامج من تاريخ بدء أول مستوى حتي أخر مستوي، ما لم يتم الاتفاق كتابيًا على خلاف ذلك.
  4. شروط وأحكام الانتقال إلى المستوى التالي:
  • استكمال كافة التكليفات التعليمية والاختبارات الدورية (Quizzes) والمتطلبات الأكاديمية الخاصة بالمستوى.
  • اجتياز التقييم النهائي للمستوى.
  • تحقيق نسبة حضور ومشاركة فعّالة داخل المحاضرات لا تقل عن 60% وفقًا لمعايير المعهد.
  • في حالة عدم اجتياز التقييمات أو الغياب عن الاختبار النهائي دون عذر تقبله الإدارة، يتم إعادة تسجيل المتدرب في نفس المستوى الحالي دون الانتقال إلى المستوى التالي.
  • ويحق للطرف الأول إعادة تسجيل المتدرب في أي مجموعة متاحة لنفس المستوى خلال نفس الفترة التشغيلية، سواء كانت الدراسة قد بدأت بالفعل أو لم تبدأ بعد، وذلك وفقًا للتنظيم الأكاديمي والتشغيلي المعتمد لدى المعهد.
  • يقر الطرف الثاني بأنه في حالة إعادة المستوى ضمن الباقات، يتم احتساب المستوى المُعاد ضمن إجمالي عدد المستويات المحجوزة، ولا يحق له المطالبة بأي تعويض أو استرداد مالي عن المستوى غير اجتاز.

البند الخامس – الامتحانات والشهادات  الدولية المعتمدة

  1. ينظم الطرف الأول امتحانات دورية لتقييم المستوى الأكاديمي للطرف الثاني وفق النظام المعتمد لدى المعهد.
  2. لا يُعتبر اجتياز المستوى أو حضور الدورة بمثابة شهادة دولية معتمدة ما لم يتم التقدم للامتحان المخصص لذلك وسداد الرسوم المقررة.
  3. تصدر الشهادات وفق المدة الزمنية والإجراءات التنظيمية المعتمدة لدى المعهد.
  4. في حالة الرسوب، يحق للطرف الثاني إعادة الامتحان في الدورة القادمة وفقًا لسياسة المعهد.
  5. يجوز للطرف الثاني الانتقال إلى مستوى أعلى دون اجتياز الامتحانات الدولية المعتمدة وأجتياز التقييمات والحضور

البند السادس – سياسة الاسترداد والتأجيل والتحويل

أولًا: الاسترداد
يمكن  للطرف الثاني طلب استرداد الرسوم فقط للمستوى الرئيسي الواحد، بالسعر الأساسي ودون خصم أوعرض أو باكدج، شريطة تقديم الطلب قبل موعد بدء الدورة بما لا يقل عن 7 أيام عمل.

ولا يجوز الاسترداد الكلي أو الجزئي في حالة الاستفادة من عرض أو خصم أو باقة مجمعة، أو تقديم الطلب خلال أقل من 7 أيام عمل من بدء الدورة أو بعد بدايتها، أو في حالة عدم الحضور أو التوقف عن الدراسة.

وفي حال الموافقة، يتم رد المبلغ بعد خصم 15% مصروفات إدارية، وفق دورة الاسترداد الشهرية المعتمدة لدى الطرف الأول.

الحالات غير القابلة للاسترداد

لا يحق للطرف الثاني المطالبة باسترداد الرسوم في الحالات التالية:

  • حجز الدورة في وقت الخصومات.
  • البرامج المجمعة أو الباقات التعليمية شاملة حجز المستويان او ثلاثة مستويات.
  • بعد بدء الدراسة أو قبل أقل من سبعة أيام عمل من موعد بداية الدورة.
  • في حالة عدم الالتزام بالحضور أو استكمال البرنامج التدريبي.

ثالثا: التأجيل أو التجميد
لا يجوز تأجيل أو تجميد الدراسة أو تحويل الحجز إلى موعد أو مجموعة أخرى بعد إتمام الحجز وبدء الدراسة.

واستثناءً من ذلك، يجوز للطرف الأول، وفقًا لتقديره في بعض الحالات الحرجة وبعد مراجعة المستندات والموافقة الإدارية والقانونية اللازمة، الموافقة على طلب التأجيل أو التجميد في حالات استثنائية محددة، ومنها على سبيل المثال لا الحصر: الحالات الطبية الحرجة، أو العمليات الجراحية، أو وفاة أحد أقارب الدرجة الأولى، وذلك وفقًا لما تقبله وتقرره إدارة المعهد.

وفي حال الموافقة على الاستثناء، تكون مدة التأجيل أو التجميد بحد أقصى شهرًا واحدًا، ويلتزم الطرف الثاني باختيار موعد الدراسة من بين المواعيد والمجموعات المتاحة في الشهر/ الدورة التدريبية التاليه، وذلك وفقًا للطاقة الاستيعابية المتاحة لدى المعهد وبعد دفع المصاريف الإدارية المقررة

وفي حال عدم توافر موعد مناسب للطرف الثاني، أو تعذر بدء المجموعة المختارة لأي سبب تنظيمي أو تشغيلي، فلا يترتب على الطرف الأول أي التزام بتوفير موعد بديل أو إنشاء مجموعة جديدة أو حجز مقعد مستقبلي، ولا تقع عليه أي مسؤولية أو التزام بالتعويض نتيجة لذلك.

تبلغ رسوم التأجيل 1,000 جنيه مصري عن كل مستوى رئيسي، ولا يضمن التأجيل او نفس المدرس أو المواعيد أو توافر مجموعة مستقبلية.

رابعا: التحويل
يجوز للطرف الأول، وفقًا لتقديره وبعد مراجعة المستندات والموافقة الإدارية والقانونية، النظر في طلبات التحويل الاستثنائية، مثل التغييرالجوهري في مواعيد الدراسة أو العمل أو السفر الإجباري.

وفي حال الموافقة على طلب التحويل، يُسمح به لمرة واحدة فقط طوال مدة البرنامج أو الكورس محل الحجز، ويقتصر التحويل على مجموعة سارية بالفعل، إن وُجدت، وبذات المستوى الدراسي الحالي، شريطة توافر مقعد شاغر بها، ولا يمتد ذلك إلى أي مجموعات مستقبلية أو مجموعات لم يبدأ انعقادها بعد.

وتبلغ رسوم التحويل 1,000 جنيه مصري عن كل مستوى رئيسي، ولا يضمن التحويل نفس المدرس أو المواعيد السابقة.

خامسا: أحكام عامة
لا يُعد تقديم طلب التأجيل أو التحويل موافقة تلقائية عليه، وتخضع جميع الطلبات للموافقة والتوافر. وفي حال الموافقة، يجب استكمال الإجراءات وسداد الرسوم خلال المدة المحددة من الطرف الأول، وإلا تُعد الموافقة لاغية تلقائيًا.

البند السابع – الانضباط والسلوك العام

يلتزم الطرف الثاني بالحفاظ على بيئة تعليمية مناسبة واحترام:

  • المحاضرين والعاملين،
  • المتدربين الآخرين.

ويحق للطرف الأول اتخاذ الإجراءات المناسبة، والتي قد تصل إلى إيقاف المتدرب عن استكمال البرنامج التدريبي وفي هذه الحالات لا يحق للطرف الثاني المطالبة بأي تعويض أو استرداد مالي.

  • الإساءة اللفظية أو السلوكية،
  • إساءة استخدام المنصات التعليمية،
  • التعدي على حقوق الملكية الفكرية،
  • أي سلوك يضر بسير العملية التعليمية أو بسمعة المعهد.

البند الثامن – الملكية الفكرية والمواد التعليمية

  1. جميع المواد التعليمية والمحتوى والتسجيلات والكتب والمنصات الخاصة بالطرف الأول محمية بموجب قوانين الملكية الفكرية.
  2. يلتزم الطرف الثاني باستلام النسخة المجانية من الكتب التعليمية الخاصة بالمعهد من احدي فروع المعهد المتاح بها الكتب خلال مدة أقصاها أربع محاضرات من بداية المستوى، وفي حال عدم الاستلام خلال المدة المحددة دون سبب تقبله الإدارة، يعتبر متنازلًا عن حقه في المطالبة بالنسخة المجانية لاحقًا.
  3. يلتزم الطرف الثاني بعدم:
  • تصوير أو نسخ أو إعادة توزيع المواد التعليمية،
  • مشاركة التسجيلات أو الحسابات التعليمية،
  • استخدام المحتوى خارج الغرض التعليمي الشخصي.
  1. يحق للطرف الأول اتخاذ كافة الإجراءات القانونية والإدارية اللازمة في حالة مخالفة ذلك.

البند التاسع – الظروف الخارجة عن الإرادة

لا يتحمل الطرف الأول أي مسؤولية عن أي تأخير أو تعذر في تنفيذ الالتزامات الناتجة عن ظروف خارجة عن الإرادة، بما في ذلك:

  • الكوارث الطبيعية والأوبئة،
  • انقطاع خدمات الاتصالات أو الإنترنت،
  • القرارات الحكومية،
  • الظروف الأمنية أو السياسية وأي ظروف قهرية مماثلة.

ويحق للطرف الأول في هذه الحالات تقديم الخدمة التعليمية من خلال الوسائل البديلة المناسبة، بما في ذلك الدراسة عبر الإنترنت

البند العاشر – التوقيت المحلي

تعتمد جميع مواعيد الدراسة والمحاضرات والاختبارات والإعلانات الصادرة عن الطرف الأول على التوقيت الرسمي لجمهورية مصر العربية. ويلتزم الطرف الثاني، إذا كان مقيمًا خارج مصر، بمتابعة فروق التوقيت الخاصة ببلد إقامته، ولا يتحمل الطرف الأول أي مسؤولية عن فوات أي محاضرة أو اختبار بسبب اختلاف التوقيت.

البند الحادي عشر – الانضباط داخل المعهد

يلتزم الطرف الثاني بالالتزام بتعليمات المعهد والمحافظة على النظام العام، ويُحظر حضور أي مجموعة غير المسجل بها، أو إدخال المأكولات والمشروبات إلى القاعات، أو اصطحاب مرافقين غير مقيدين، أو القيام بأي سلوك يخل بالعملية التعليمية أو ممتلكات المعهد. ويحق للطرف الأول اتخاذ الإجراءات التأديبية المناسبة، بما في ذلك إلغاء القيد في الحالات الجسيمة أو المتكررة.

البند الثاني عشر – سياسة الحضور والغياب

يلتزم الطرف الثاني بالانتظام في حضور المحاضرات، ويكون الحد الأقصى المسموح به للغياب ثلاث محاضرات لكل مستوى فرعي. ويحق للطرف الأول إلغاء قيد الطرف الثاني عند تجاوز الحد المسموح به أو عند التغيب عن أول ثلاث محاضرات متتالية دون عذر تقبله الإدارة، وذلك دون أحقية في استرداد الرسوم.

ويحق للطرف الثاني، في حال الغياب، طلب محاضرات تعويضية  (Private) لتعويض ما فاته من محتوى تدريبي، وذلك في حال توافر إمكانية تقديم هذه المحاضرات. وتكون مدة المحاضرة التعويضية ثلاث ساعات يتم شرح درسان ، مقابل مبلغ قدره 600 جنيه مصري للمحاضرة الواحدة.

البند الثالث عشر – الإخطارات

تُعد جميع الإخطارات والتعليمات والجداول المرسلة عبر البريد الإلكتروني أو الهاتف أو WhatsApp أو المنصات الرسمية للطرف الأول إخطارات رسمية، ويلتزم الطرف الثاني بمتابعتها

البند الرابع عشر – أحكام عامة

  1. يقر الطرف الثاني بأنه قام بقراءة وفهم جميع بنود العقد والسياسات المالية والتنظيمية الخاصة بالطرف الأول قبل التوقيع عليه.
  2. يعتبر سداد الرسوم أو تحويل قيمة الحجز أو تأكيد التسجيل الإلكتروني بمثابة موافقة صريحة من الطرف الثاني على كافة شروط وأحكام هذا العقد في حال تعذر التوقيع الورقي.
  3. أي تعديل على هذا العقد لا يكون نافذًا إلا إذا كان مكتوبًا ومعتمدًا من الطرفين.
  4. يخضع هذا العقد للقوانين المعمول بها في جمهورية مصر العربية، وتختص محاكم القاهرة بنظر أي نزاع ينشأ بشأنه

ويُعتبر هذا التمهيد جزءًا لا يتجزأ من هذا العقد ومكملًا ومفسرًا له.

TRAINING AND EDUCATIONAL SERVICES AGREEMENT

This Agreement is made and entered into on this day of ____________, dated ___ / ___ / ______, by and between:

First: The First Party

DFA Company, having its registered office at 9 Abdel Ghaffar Selim Street, off El Hegaz Street, Heliopolis, Cairo, Arab Republic of Egypt;

Represented herein by Mr. ______________________________, in his capacity as Chairman of the Board of Directors.

Hereinafter referred to as the “First Party” or the “Institute”.

Second: The Second Party

Hereinafter referred to as the “Second Party” or the “Trainee”.

Preamble

WHEREAS the First Party specializes in providing training, education and qualification services in the German language through in-person and online training programs covering various levels and courses;

WHEREAS the Second Party has expressed the desire to enroll in one of the training programs offered by the First Party and to benefit from the educational and training services provided thereunder;

WHEREAS the educational and training services provided by the First Party are continuous services that are rendered and consumed simultaneously throughout the term of the training program, and the organization thereof entails operational, academic and administrative commitments relating to the reservation of venues and schedules and the allocation of instructors and educational resources;

NOW, THEREFORE, the Parties, having full legal capacity as recognized by Sharia and law, have agreed as follows:

This Preamble shall constitute an integral part of this Agreement and shall be read as complementing and interpreting it.

Article 1 – Subject Matter of the Agreement

The First Party undertakes to provide the agreed training program to the Second Party in accordance with the designated study system, whether in person or online, and to provide qualified instructors and the available educational materials in accordance with the academic system adopted by the Institute.

Article 2 – Study System and Academic Organization

1.   The Second Party undertakes to attend the training program regularly throughout the study period and to refrain from absence in order to achieve the intended benefit.

2.   Trainees shall be allocated to study groups in accordance with the operational system and capacity of the Institute.

3.   The First Party reserves the right to amend or postpone the study schedules by a maximum of fourteen (14) working days from the announced date, to change the training venues, to amend the study schedules, to change the instructor or curricula, or to merge or reorganize groups whenever the interest of the educational process so requires or whenever operational or organizational necessity so dictates, provided that the educational service continues to be delivered in an appropriate manner.

4.   The Second Party undertakes to comply with the academic and organizational rules announced by the Institute throughout the term of the training program.

Article 3 – Online Attendance Requirements (Online Study)

The Second Party acknowledges and undertakes to comply with the technical and behavioral standards governing online study, so as to ensure the quality of the educational process and the benefit of the Second Party, including the following:

1.   To actively participate during the lecture and to turn on the camera whenever requested by the instructor or as required by the Institute’s educational policy.

2.   To use appropriate technical means, including a stable internet connection and a microphone and headphones of adequate quality, to ensure clear communication.

3.   The Trainee shall be responsive during the lecture. The instructor or the administration shall be entitled to take the appropriate action, including removing the Trainee from the lecture, in the event of repeated breach of the attendance or participation rules.

4.   Joining a lecture, whether online or offline (in person), shall not be permitted after thirty (30) minutes have elapsed from its start, in order to maintain the regularity of the educational process.

5.   The Second Party shall bear full responsibility for the quality of his/her internet connection and devices, and the First Party shall bear no responsibility for any technical malfunctions beyond its control.

6.   Photographing, recording or sharing the lectures, educational materials or study-related online accounts with any person not enrolled in the program is strictly prohibited. Any such act shall constitute an explicit infringement of the First Party’s intellectual property rights and shall entitle the First Party to take the appropriate legal and administrative measures.

7.   In the event that the Trainee is absent from any online lecture, he/she may request the recordings of no more than three (3) lectures per study level, subject to the availability of such recordings. The Trainee shall view and use the recordings within a maximum period of forty-eight (48) hours from the time they are made available, after which the recordings shall be automatically deleted in accordance with the data retention and storage policy and the available storage capacity.

Article 4 – Rules for Packages and Bundled Levels (Packages & Bundles)

1.   The Trainee’s educational journey shall commence from the level determined by the Institute’s placement test, in the case of prior knowledge of the language, or by the internationally accredited certificate submitted by the Trainee to the Institute. The determined level may not be skipped.

2.   The booking shall include the agreed number of levels, whether two, three or four levels. The entitlement period shall expire upon the end of the specified term or upon the consumption of all booked levels, whichever occurs first.

3.   The Second Party undertakes to complete the booked levels within the program term, from the start date of the first level until the last level, unless otherwise agreed in writing.

4.   Terms and conditions for progression to the next level:

  • Completion of all educational assignments, periodic quizzes and academic requirements of the level.
    • Passing the final assessment of the level.
    • Achieving an attendance and effective participation rate in lectures of no less than sixty percent (60%), in accordance with the Institute’s standards.
    • In the event of failing the assessments, or of absence from the final examination without an excuse accepted by the administration, the Trainee shall be re-enrolled in the same current level and shall not progress to the next level.
    • The First Party shall be entitled to re-enroll the Trainee in any available group of the same level within the same operational period, whether or not the study has already commenced, in accordance with the academic and operational organization adopted by the Institute.
    • The Second Party acknowledges that, where a level is repeated within a package, the repeated level shall be counted towards the total number of booked levels, and the Second Party shall not be entitled to claim any compensation or refund for the level not passed.

Article 5 – Examinations and Accredited International Certificates

1.   The First Party shall organize periodic examinations to assess the academic level of the Second Party in accordance with the system adopted by the Institute.

2.   Passing a level or attending a course shall not be deemed an accredited international certificate unless the Second Party sits for the designated examination and pays the applicable fees.

3.   Certificates shall be issued in accordance with the timeframe and organizational procedures adopted by the Institute.

4.   In the event of failure, the Second Party shall be entitled to retake the examination in the following session in accordance with the Institute’s policy.

5.   The Second Party may progress to a higher level without passing the accredited international examinations, provided that he/she has passed the Institute’s assessments and met the attendance requirements.

Article 6 – Refund, Postponement and Transfer Policy

First: Refunds

The Second Party may request a refund of the fees paid for a single main level only, at the standard price and without any discount, offer or package, provided that the request is submitted no less than seven (7) working days prior to the course start date.

No full or partial refund shall be permitted where the Second Party has benefited from an offer, discount or bundled package, where the request is submitted less than seven (7) working days prior to the course start date or after its commencement, or in the event of non-attendance or discontinuation of study.

Upon approval, the amount shall be refunded after deduction of fifteen percent (15%) as administrative fees, in accordance with the First Party’s approved monthly refund cycle.

Second: Non-Refundable Cases

The Second Party shall not be entitled to claim a refund of the fees in the following cases:

  • Booking the course during a discount period.
  • Bundled programs or educational packages, including bookings of two or three levels.
  • After the commencement of study, or less than seven (7) working days prior to the course start date.
  • Failure to attend or to complete the training program.

Third: Postponement or Suspension

Postponing or suspending the study, or transferring the booking to another schedule or group, shall not be permitted after the booking has been completed and the study has commenced.

By way of exception, the First Party may, at its discretion in certain critical cases and following a review of the supporting documents and the necessary administrative and legal approval, approve a request for postponement or suspension in specific exceptional circumstances, including but not limited to: critical medical conditions, surgical operations, or the death of a first-degree relative, as accepted and determined by the Institute’s administration.

Where such exception is approved, the postponement or suspension period shall not exceed one (1) month, and the Second Party shall select a study schedule from among the schedules and groups available in the following month / training session, subject to the Institute’s available capacity and upon payment of the applicable administrative fees.

Where no suitable schedule is available to the Second Party, or where the selected group cannot commence for any organizational or operational reason, the First Party shall be under no obligation to provide an alternative schedule, create a new group or reserve a future seat, and shall bear no liability or obligation to compensate as a result thereof.

The postponement fee shall be EGP 1,000 (One Thousand Egyptian Pounds) per main level. Postponement does not guarantee the same instructor, the same schedules or the availability of a future group.

Fourth: Transfer

The First Party may, at its discretion and following a review of the supporting documents and administrative and legal approval, consider exceptional transfer requests, such as a substantial change in study or work schedules or mandatory travel.

Where a transfer request is approved, it shall be permitted once only throughout the term of the booked program or course, and shall be limited to a group already in progress, if any, at the same current study level, subject to the availability of a vacant seat therein. It shall not extend to any future groups or groups that have not yet commenced.

The transfer fee shall be EGP 1,000 (One Thousand Egyptian Pounds) per main level. Transfer does not guarantee the same instructor or the previous schedules.

Fifth: General Provisions

The submission of a postponement or transfer request shall not constitute automatic approval thereof, and all requests shall be subject to approval and availability. Upon approval, the procedures shall be completed and the fees paid within the period specified by the First Party; otherwise, the approval shall be automatically deemed null and void.

Article 7 – Discipline and General Conduct

The Second Party undertakes to maintain an appropriate learning environment and to show respect towards:

  • Instructors and staff; and
  • Other trainees.

The First Party shall be entitled to take the appropriate measures, which may extend to suspending the Trainee from completing the training program, in the event of any of the following, in which case the Second Party shall not be entitled to claim any compensation or refund:

  • Verbal or behavioral abuse;
  • Misuse of the educational platforms;
  • Infringement of intellectual property rights;
  • Any conduct detrimental to the conduct of the educational process or to the reputation of the Institute.

Article 8 – Intellectual Property and Educational Materials

1.   All educational materials, content, recordings, books and platforms of the First Party are protected under intellectual property laws.

2.   The Second Party undertakes to collect the complimentary copy of the Institute’s textbooks from any of the Institute’s branches where the books are available, within a maximum period of four (4) lectures from the start of the level. Failure to collect the books within the specified period without a reason accepted by the administration shall be deemed a waiver of the Second Party’s right to claim the complimentary copy thereafter.

3.   The Second Party undertakes not to:

  • Photocopy, reproduce or redistribute the educational materials;
    • Share the recordings or educational accounts;
    • Use the content for any purpose other than personal educational use.

4.   The First Party shall be entitled to take all necessary legal and administrative measures in the event of any breach of the foregoing.

Article 9 – Force Majeure

The First Party shall bear no liability for any delay in, or inability to perform, its obligations resulting from circumstances beyond its control, including:

  • Natural disasters and epidemics;
  • Interruption of telecommunications or internet services;
  • Governmental decisions;
  • Security or political conditions, and any similar force majeure circumstances.

In such cases, the First Party shall be entitled to deliver the educational service through appropriate alternative means, including online study.

Article 10 – Local Time

All study schedules, lectures, examinations and announcements issued by the First Party shall be based on the official local time of the Arab Republic of Egypt. Where the Second Party resides outside Egypt, he/she shall be responsible for taking into account the time difference of his/her country of residence, and the First Party shall bear no responsibility for any missed lecture or examination due to such time difference.

Article 11 – Discipline on the Institute’s Premises

The Second Party undertakes to comply with the Institute’s instructions and to maintain public order. It is prohibited to attend any group in which the Second Party is not enrolled, to bring food or beverages into the classrooms, to be accompanied by unregistered persons, or to engage in any conduct that disrupts the educational process or damages the Institute’s property. The First Party shall be entitled to take the appropriate disciplinary measures, including cancellation of enrollment in serious or repeated cases.

Article 12 – Attendance and Absence Policy

The Second Party undertakes to attend lectures regularly. The maximum permitted absence shall be three (3) lectures per sub-level.

The First Party shall be entitled to cancel the Second Party’s enrollment upon exceeding the permitted limit, or upon absence from the first three (3) consecutive lectures without an excuse accepted by the administration, without any entitlement to a refund of the fees.

In the event of absence, the Second Party may request private make-up lectures to cover the missed training content, subject to the availability of such lectures. Each make-up lecture shall be three (3) hours in duration, covering two (2) lessons, at a fee of EGP 600 (Six Hundred Egyptian Pounds) per lecture.

Article 13 – Notices

All notices, instructions and schedules sent by e-mail, telephone, WhatsApp or through the official platforms of the First Party shall be deemed official notices, and the Second Party undertakes to follow up on them.

Article 14 – General Provisions

1.   The Second Party acknowledges that he/she has read and understood all the clauses of this Agreement and the financial and organizational policies of the First Party prior to signing it.

2.   Payment of the fees, transfer of the booking amount, or electronic confirmation of registration shall constitute the Second Party’s express acceptance of all the terms and conditions of this Agreement where a paper signature is not possible.

3.   No amendment to this Agreement shall be valid unless made in writing and approved by both Parties.

4.   This Agreement shall be governed by the laws in force in the Arab Republic of Egypt, and the Cairo Courts shall have jurisdiction over any dispute arising hereunder.
